These Terms of Service (“Terms”) apply when you access the GetEducated.ai website, Academy, community, digital content, subscriptions, or related online features (collectively, the “Platform”), or purchase professional AI development, design, strategy, automation, integration, implementation, or related services (“Professional Services”).
By using the Platform, purchasing an offering, or entering into a project with GetEducated.ai Inc. (“GetEducated.ai,” “we,” “us,” or “our”), you agree to these Terms. If you act for an organization, you represent that you have authority to bind it.
We provide two categories of offerings:
We may improve, replace, suspend, or discontinue Platform features or digital content. Where practical, we will provide reasonable notice of a material change affecting an active paid subscription.
Professional Services begin only when both parties have accepted a Project Agreement. The Project Agreement should identify the scope, deliverables, fees, payment schedule, timeline, dependencies, approval process, change process, intellectual-property terms, and any support or data requirements.
If a Project Agreement conflicts with these Terms, the Project Agreement controls for that project. Any data processing agreement then controls for the handling of client personal information. These Terms continue to apply to matters the Project Agreement does not address.
You must provide accurate information and keep it current. You are responsible for your credentials and activity under your account. Notify us promptly of suspected unauthorized access.
The Platform is not directed to children under 13. If you are not legally able to enter into these Terms, a parent, guardian, or authorized organization must do so for you.
Prices are stated at checkout, in an order form, or in the applicable Project Agreement. You authorize us and our payment providers to charge the payment method you provide for applicable fees, renewals, approved expenses, and taxes.
Recurring subscriptions renew for the period shown at checkout until cancelled. We may change subscription pricing with advance notice required by applicable law.
Professional Services may require a deposit, retainer, advance payment, milestone payment, or recurring fee. Invoices are due according to the Project Agreement. We may pause work, withhold delivery, or suspend access for an overdue undisputed amount after providing notice and any cure period required by the Project Agreement or law.
Digital products, Academy and community access, subscription cancellations, and billing corrections are governed by our Refund Policy.
Professional Services may be paused, cancelled, or terminated only as stated in the applicable Project Agreement. Ending a project does not remove payment obligations for work performed, approved expenses, reserved resources, non-cancellable third-party commitments, or agreed termination fees.
For Professional Services, you agree to:
A delay in your dependencies, feedback, access, or approvals may affect the timeline, resourcing, and fees.
Work outside the agreed scope requires a written change request or other written approval. A scope change may alter fees, timing, deliverables, dependencies, or acceptance criteria. Informal discussion of an idea does not add it to the project scope.
Delivery, review, testing, revision rounds, acceptance, and launch approval are governed by the Project Agreement. You remain responsible for final business, legal, compliance, and operational approval of any system or content deployed on your behalf.
Platform materials. The Platform, courses, recordings, templates, graphics, software, and written materials are owned by GetEducated.ai or its licensors. Unless we give written permission, they are licensed for your personal or internal business learning use only and may not be reproduced, resold, distributed, or used to create a competing offering.
Client materials. You retain ownership of materials you provide and grant us the limited rights needed to perform the project. You represent that you have the rights and permissions required for us to use them as instructed.
Project deliverables. Ownership or licence rights in final deliverables are defined in the Project Agreement and take effect only after full payment of the applicable fees. We retain our pre-existing materials, methods, know-how, reusable components, development tools, frameworks, and general skills. Any third-party materials remain subject to their own licence terms.
We will not publicly identify you as a client or publish confidential project details unless you authorize us or the Project Agreement expressly permits it.
AI models and automated systems may produce incomplete, inaccurate, inconsistent, or unexpected outputs. Unless a Project Agreement expressly states otherwise, deliverables that use AI require appropriate human review and are not a substitute for legal, medical, financial, or other regulated professional advice. We do not guarantee a particular business, revenue, ranking, or performance outcome.
Projects may depend on third-party models, APIs, platforms, hosting, software, licences, and accounts. Third parties control their availability, pricing, policies, data practices, and product changes. Third-party fees are your responsibility unless the Project Agreement expressly includes them.
Each party must protect the other party's non-public confidential information using reasonable care and use it only for the relationship, except where disclosure is authorized or legally required. Project-specific confidentiality obligations may be included in the Project Agreement.
Our handling of personal information is described in our Privacy Policy and any applicable data processing agreement.
You may not use our offerings to violate law or another person's rights, interfere with security or operation, introduce malicious code, gain unauthorized access, scrape or redistribute protected content, impersonate others, harass community members, or submit content that is unlawful, hateful, deceptive, or infringing.
We may remove content or suspend or terminate access where reasonably necessary to protect people, systems, rights, or the integrity of the Platform, subject to applicable law and any Project Agreement.
We will perform Professional Services with reasonable care and skill consistent with the applicable Project Agreement. Any specific warranty or remedy for a project must be stated in that agreement.
Except for express commitments in a Project Agreement and rights that cannot lawfully be excluded, the Platform, digital offerings, and deliverables are provided “as is” and “as available.” We do not warrant uninterrupted or error-free operation, compatibility with every third-party service, or any particular educational, commercial, or technical result.
To the maximum extent permitted by law, neither party will be liable to the other for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, or business opportunity, arising from these Terms or an offering.
Unless a Project Agreement states a different cap, GetEducated.ai's total aggregate liability arising from an affected offering will not exceed the amount you paid to GetEducated.ai for that offering during the twelve months before the event giving rise to the claim. These exclusions and caps do not apply where they are prohibited by law or to liability that cannot lawfully be limited.
These Terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law principles. The parties will first try in good faith to resolve a dispute through written notice and direct discussion. Unless a Project Agreement or applicable law requires otherwise, disputes may be brought in the courts located in Ontario.
Nothing in these Terms prevents a person from exercising a consumer or other statutory right that cannot lawfully be waived.
If part of these Terms is unenforceable, the remaining provisions continue in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms or a Project Agreement without our written consent, except as permitted in that agreement. We may update these Terms for future use of the Platform and will provide notice of material changes where required.
